General Terms and Conditions (GTC)

Note on this translation: This page is a translation provided for information only. The German version is legally binding and prevails in the event of any discrepancy. Mandatory consumer protection rules of your country of residence remain unaffected.

1. Scope

These General Terms and Conditions (hereinafter “GTC”) govern the use of the Opergow platform (hereinafter “Platform”) between the provider (see Section 2) and the user.

By registering and using the Platform, the user accepts these GTC. Deviating or supplementary terms of the user do not become part of the contract unless the provider expressly agrees to their validity in writing.

2. Provider

The provider of the Platform is Opergow GmbH, Leitenweg 22, 85139 Wettstetten, Deutschland, email contact@opergow.com. For further details see the Legal Notice.

The user's contractual partner is Opergow GmbH, registered in Commercial Register B of the Local Court of Ingolstadt under HRB 13031. Further details and contact information are set out in the Legal Notice.

3. Description of Services

The Platform is a cloud service for the visual orchestration of workflows (“flows”) that can trigger calls to external application programming interfaces (APIs) — in particular AI, API, cloud or compute services. Flows are modeled without programming as a hierarchy (workspace → flow → task) and can be saved, shared and reused as templates within the organization. Flows can also be exported to a file and imported from a file.

Execution takes place either in the provider's backend (“worker_api”) or on the user's device via a host client (“host_client”). External services are called exclusively with the user's own credentials stored by the user and only against the target interfaces enabled by the user. Flow control is currently purely sequential; parallel or branched flow graphs are not offered.

The Platform does not provide its own AI service and does not forward content to any fixed AI provider. Which external services receive content is determined solely by the user through their configuration and their own credentials.

In addition, a file manager (encrypted storage per organization) and team/role management are available. Through the hub, users can install public templates of other organizations free of charge and publish their own templates free of charge (details in the following paragraph); paid offerings in the hub are not active. The hub is in a test or trial phase: it is provided free of charge and without any claim to continuous availability, may be temporarily unreachable, and individual functions may be temporarily disabled. During the test phase there is no claim to availability, to a particular scope of functions, or to the provision of the hub at all; we may change, suspend or discontinue the test operation at any time. This test phase concerns solely the hub, not the other services.

Publishing templates: owners and administrators of an organization can publish saved templates of the organization in the Hub. Any organization on the platform can install a published template free of charge and modify its copy. Next to the template, the nickname of the publishing user and, in brackets, the name of their organization are shown publicly. References to stored credentials and results of earlier executions are removed automatically before publication; otherwise the user ensures that the template contains no secrets, no personal data of third parties and no content for which they lack the necessary rights (Section 5). By publishing, the user grants every user of the platform the simple, free and temporally unlimited right to install the template within the platform, to use it and to modify their copy. This does not include the right to pass the template or substantial parts of it on to third parties outside the platform or to exploit it there, or to republish it in the Hub as their own template unchanged or with only insignificant changes; it reaches other users exclusively through installation from the Hub. Rights in results that a user produces with their copy remain unaffected. Publishing is free of charge and is not remunerated. The publishing user as well as owners and administrators of their organization can withdraw the publication at any time; copies already installed and the rights granted in them remain unaffected. If the publishing user’s account is deleted, the provider removes their nickname and the organization’s name from the publication; the template stays public without a name until it is withdrawn. If the organization is deleted, the provider withdraws all of its publications and deletes their content; where a publication must be retained as evidence (in particular in the case of a paid sale or a block under Section 5), it remains stored with pseudonymous identifiers only. Copies already installed and the rights granted in them remain unaffected in both cases. The provider may block publications under Section 5.

The specific scope of functions results from the product description valid at the time. The provider may further develop and adapt functions where there is a valid reason for doing so (in particular technical development, security, adaptation to the legal situation) and the change is reasonable for the user; no additional costs arise for the user as a result. The user will be informed clearly and comprehensibly with reasonable notice of any material restriction or discontinuation of functions; if a change impairs access to the service or its usability more than insignificantly, the user may terminate the contract free of charge within 30 days. That period begins when the information is received or, where the change takes place only after that point, at the time of the change. There is no such right of termination where the impairment is only insignificant, or where the user retains access to the unchanged digital product and its usability at no additional cost.

For digital products and digital services, the consumer is entitled to the statutory warranty rights under Sections 327 et seq. of the German Civil Code (BGB) — in particular the right to conformity of the supply and to functionality-preserving updates. These rights are not restricted by these GTC.

New features and features under trial: Some of the features described in this section and in Section 6 are new developments and are currently in a test or trial phase. They may not yet be available, not yet fully available or only available to a limited extent at the time the contract is concluded. This currently applies to: downgrading a plan with effect from the end of the period — already available is cancellation with effect from the end of the current billing period followed by booking the desired plan anew. The provider intends to make these features generally available in the near future; however, there is no entitlement to their provision at a particular time or to a particular extent, and the provider may change, suspend or discontinue the trial at any time. Until they are generally enabled, the features named in this paragraph do not form part of the agreed characteristics and are not part of the services owed; the scope of services owed for the plan booked and the fee agreed for it remain unaffected. The user's other statutory rights, in particular under Sections 327 et seq. BGB with regard to the services actually provided, remain unaffected.

4. Conclusion of Contract and Access

The contract for use of the Platform is concluded upon successful registration and activation of the user account.

The user warrants that their information is truthful and complete and keeps it up to date. The user must be of legal age and have full legal capacity.

The user keeps their credentials confidential and does not disclose them to third parties. In the event of suspected misuse, the provider must be informed without delay.

When registering and when creating an organization, the user specifies their country or the country of the organization's seat. Automatic country detection (geo-IP) serves solely as a non-binding suggestion; only the user's selection, which they may change at any time before submitting, is decisive. The correctness of this information is the sole responsibility of the user; it determines the organization's hosting region (see Section 6). The VAT treatment, by contrast, is based on the billing address provided at the time of booking (see Section 6).

The contract is concluded in the following technical steps: completing the registration form, confirming the email address by entering the code sent, and completing the account setup. Input errors can be corrected at any time directly in the form fields before the respective submission. The contract text — these GTC in the version applicable when the contract is concluded — is not stored by the provider and is not accessible to the user through the Platform after the contract has been concluded. The current version, together with its effective date, is always available on this page; the user can save or print it before submitting. For paid bookings the provider additionally records the effective date of the version applicable at the time of booking. Bookings of paid plans are documented in the Platform and confirmed on a durable medium: where a fee is payable for the period booked, this is done by the invoice; where no fee is initially payable (for example during a trial phase, or where the amount is covered in full by credit or a promotional discount), by a payment summary. Both documents contain the contract confirmation under Sec. 312f BGB and are available in the account to view and download. The language of the contract is German; the versions of these pages in other languages are for information only — the German version prevails.

5. User Obligations, Own Credentials and Content

The user uses the Platform exclusively within the framework of applicable laws and these GTC.

If the user integrates external services (e.g. AI/API providers), they use exclusively their own, lawfully obtained credentials for this purpose and observe the contractual and usage terms as well as any usage restrictions of those providers. The user is solely responsible for the costs incurred with the third-party provider through their use.

The user is responsible for all content they create, upload, store, transmit to external services or process. They warrant that they hold the necessary rights and process the personal data of third parties only on a lawful basis.

The following are prohibited in particular: unlawful content; interference with the security or stability of the Platform; circumvention of technical protective measures; automated extraction of third-party data; sending spam; and use of the Platform to violate the terms of integrated third-party providers.

The provider may remove unlawful content or content reported to it, or block access to it. Notices of potentially unlawful content shared via the Platform can be reported at any time to contact@opergow.com (point of contact under the Digital Services Act, DSA). If content submitted by a user is removed or blocked, the provider informs the affected user of the essential reasons, insofar as this is legally permissible and possible.

Two separate models apply to the safekeeping of credentials for external services (in particular API keys): (a) Credentials stored in the Platform are stored by the provider encrypted in accordance with the state of the art and are used exclusively to execute the calls enabled by the user; the details of the protective measures are described in the Privacy Policy. (b) Credentials that the user stores in the host client remain exclusively local on the user's device (local client configuration) and are at no time transmitted to the Platform; the provider has no access to them and assumes no safekeeping for them. The protection of these locally stored credentials and of the host environment as a whole — including device security, access controls, system updates and data backup — is the sole responsibility of the user.

AI Act: The platform does not provide AI systems of its own (Section 3). Where the user integrates third-party AI services or runs AI-assisted flows, they do so on their own responsibility; in this respect they are the deployer within the meaning of Art. 3(4) of Regulation (EU) 2024/1689 (AI Act) and fulfil the obligations it imposes on them themselves — in particular the transparency obligations towards persons who encounter AI-generated or AI-manipulated content (Art. 50), the obligations when using high-risk AI systems (Art. 26) and ensuring sufficient AI literacy of the persons operating such systems on their behalf (Art. 4). With regard to the integrated AI services, the provider is neither their provider nor their deployer.

6. Plans, Billing and Payment

The Platform offers seven tier levels in three plan types (for individuals, businesses and enterprise). Under the free plan the Platform is provided free of charge; paid use requires an express booking by the user. Plans of the plan type for businesses (“Team”) and Enterprise plans are aimed exclusively at entrepreneurs within the meaning of § 14 BGB, whatever their legal form; consumers (§ 13 BGB) cannot book them. By ordering such a plan, the user confirms that they are acting as an entrepreneur. Plans for individuals can be booked by consumers and entrepreneurs; when ordering, the user states in which capacity they are ordering.

Prices are in euros (EUR); no other currency is offered. Where the customer is a consumer, prices are stated as total prices including statutory VAT; where the customer is a business, prices may be shown net plus statutory VAT. For consumers, the applicable VAT rate is based on their country of residence; the total amount payable is displayed before the order is completed. For certain business/enterprise tiers, billing is carried out manually.

Payments are processed via the service providers Stripe and PayPal. Invoices are issued with a German layout, service period and separately stated VAT, and provided as an encrypted PDF. The PDF also contains an electronic invoice in accordance with the EN 16931 standard (ZUGFeRD/Factur-X).

Upgrades and increases in the number of seats take effect immediately; the following paragraph applies to the charging of additional seats. A reduction in the number of seats takes effect at the end of the current billing period; until then all seats remain usable. Downgrades are also intended to take effect at the end of the period; that function is still under trial (see the notice on new features and features under trial in Section 3). Until it is enabled, the user reaches the same result by canceling with effect from the end of the current billing period and then booking the desired plan anew. Termination takes effect at the end of the current billing or trial period; canceled subscriptions can be reactivated before that time. There is no pro-rata refund of periods already billed; the user's mandatory statutory claims (in particular arising from withdrawal, warranty or a justified extraordinary termination) remain unaffected.

Changes to the number of seats: For plans billed per seat, the following applies in addition: (a) Additional seats are charged at the per-seat price that applies to the current contract, i.e. the price agreed at the conclusion of the contract or at the last plan change, not at the current list price. A promotional price granted at that time also applies to additional seats. A promotional discount from a promo code does not apply to the pro-rata charge under (b), but does apply to all seats from the next billing period for as long as it runs. (b) If seats are added during a current billing period, the provider charges only the additional seats, pro rata for the remaining days of that billing period; the day of the change is included in the charge for the additional seats. The end of the billing period does not change as a result; from the next billing period, the new number of seats is charged at the full price. If the pro-rata amount for all additional seats together is less than EUR 0.50 net, it is not charged. During a free trial period, additional seats are not charged; the trial period continues unchanged.

The hosting region of an organization is determined once and bindingly by the country specified when it is created. A subsequent change of the hosting region and a transfer of the data to another region are not provided for; this requires creating a new organization. The owner of an existing organization may, however, change its name at any time. Irrespective of the hosting region, the user may specify and update a billing address as part of billing; the VAT treatment is based on this information provided by the user.

A paid contract — including a trial subscription that subsequently converts into a paid subscription — is concluded upon completion of the order via the “order with obligation to pay” button. The withdrawal period under Section 7 begins with this conclusion of contract, even if initially no or only a reduced fee is charged.

Credits and promotional discounts: credits (e.g. welcome credit) and promotional/promo discounts are applied solely to future paid services. They cannot be paid out, transferred or redeemed for cash and apply only for the stated purpose and period. A promotional discount and a credit may be redeemed together: the promotional discount first reduces the price of the service concerned, and the credit is then applied to the remaining amount, up to that amount at most. Multiple promotional discounts cannot — unless stated otherwise — be combined with one another. Any unused credit expires upon termination of the underlying subscription (e.g. cancellation, downgrade to a free plan) and upon the lapse of any validity period. In the event of a withdrawal within the withdrawal period, any compensation for value (Section 7) is calculated on the basis of the fee actually payable after deduction of credit/discount. A promotional discount from a promo code applies for the number of months stated for the code (promotional months). Promotional months are not used up by calendar time but per billing period whose fee the promotional discount reduces: a monthly billing period uses one promotional month, an annual billing period uses the remaining promotional months, up to twelve; for an annual billing period, the promotional discount is granted on the annual fee pro rata for those months. If a billing period ends early because of an immediately effective plan change (see Section 12), its promotional months remain used, regardless of how long it ran; the billing period starting with the change uses promotional months again for as long as any remain. Promotional months that have been used are neither refunded nor credited nor granted again. A free trial period does not use any promotional months. If a new promo code is redeemed, it replaces a running promotional discount; that discount's remaining promotional months lapse. Whether and to what extent a promotional discount is applied to an order is shown before the order is placed; if, exceptionally, an entered promo code can only be checked when the order is placed, this is shown before the order is placed, and the price shown without the promotional discount is not exceeded.

The fee for paid plans is due on invoicing and is collected via the stored payment method. If a collection fails, the provider promptly reminds the user of the payment by e-mail, stating the grace period and the consequences of its expiry; access to the paid plan then remains for a further 24 hours, during which the user can complete the payment. If the payment is not completed within this time, the organisation is downgraded to the free plan; data is preserved. A later change back to a paid plan is possible at any time, as a new booking at the prices and terms that apply at the time of that booking and are shown before it is completed. Default interest and further claims are governed by law.

If a payment already made is charged back or disputed by the user or at the user's instigation (a chargeback — e.g. a card chargeback, a direct-debit return or a buyer-protection claim), the consideration for the period concerned is missing. In this case the provider is entitled to suspend access to the organisation and to the accounts of its members until the matter is clarified and to end the paid plan as of the end of the current billing period; data is preserved during the suspension. The provider informs the user without delay by e-mail about the suspension, its reason and the ways to end it. If the user withdraws the chargeback or it is decided in the provider's favour, the provider lifts the suspension unless it terminates the agreement under section 12. If the user wants a refund, they can contact the provider at any time (support@opergow.com); statutory refund claims, in particular under the right of withdrawal in section 7, remain unaffected.

If the user triggers a chargeback although the payment was authorised by the user and the service was provided as agreed, and the chargeback is subsequently decided in the provider's favour by the payment service provider or withdrawn by the user, the user shall reimburse the provider for the payment service provider's fees actually incurred through the chargeback and not refunded. The provider substantiates these fees on request; the user remains free to prove that no loss, or a smaller loss, was incurred. The provider may set this claim off against a refund claim of the user. Further statutory claims remain unaffected. The user's statutory right to reclaim unauthorised payments is not restricted hereby.

For users who are entrepreneurs within the meaning of § 14 BGB the following applies in addition: there is no right of withdrawal. In the event of an ordinary termination, a reduction in the number of seats or a switch to a cheaper plan, the provider does not refund any fees already paid; otherwise, refunds are made only where required by law. Statutory claims remain unaffected, in particular in the event of defects, an extraordinary termination for a reason for which the provider is responsible, discontinuation of the service by the provider and amounts paid in excess by mistake. The period for withdrawing a chargeback under section 12 is three business days for entrepreneurs, and the provider may claim reasonable handling costs in addition to the payment service provider's fees.

7. Right of Withdrawal for Consumers

Consumers (Sec. 13 BGB) have the following statutory right of withdrawal for contracts concluded off business premises and for distance contracts. Businesses (Sec. 14 BGB) do not have a right of withdrawal.

Withdrawal instructions — Right of withdrawal: You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of conclusion of the contract. To exercise your right of withdrawal, you must inform us (Opergow GmbH, Leitenweg 22, 85139 Wettstetten, Deutschland, email: contact@opergow.com) of your decision to withdraw from this contract by an unequivocal statement (e.g. an email). You may use the model withdrawal form below for this purpose, but it is not mandatory. To meet the withdrawal deadline, it is sufficient for you to send the communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Consequences of withdrawal: If you withdraw from this contract, we shall reimburse to you all payments received from you without delay and at the latest within fourteen days from the day on which we receive notification of your withdrawal from this contract. For this reimbursement we use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees for this reimbursement.

If you have requested that the service begin during the withdrawal period, you must pay us a reasonable amount corresponding to the proportion of the services already provided up to the point at which you inform us of the exercise of the right of withdrawal in respect of this contract, compared with the total scope of the services provided for in the contract.

Expiry of the right of withdrawal: The right of withdrawal expires before the end of the withdrawal period if we have fully performed the service and only began performing it after you gave your express consent and at the same time confirmed your knowledge that you lose your right of withdrawal upon full performance of the contract by us. When booking a paid plan, we obtain this consent as well as your express request for immediate commencement of the service expressly before the booking is completed.

8. Availability

The provider endeavours to achieve the highest possible availability but does not guarantee any specific availability rate. The availability of integrated third-party services is beyond the provider's control.

Maintenance windows and short-term interruptions will, where possible, be announced in advance.

Data backup: The provider backs up the data stored in the platform regularly in order to restore operation after a failure. These backups serve to restore the platform as a whole, not to restore individual content deleted or changed by the user; there is no entitlement to such restoration. The user backs up their own content — in particular flows, templates and files stored in the file manager — at reasonable intervals, for example by exporting it as a file (Section 3), and keeps the credentials of integrated third-party services outside the platform. The provider is liable for the loss of data in accordance with Section 10; where the user has breached their backup duty, liability is limited to the effort that would have been required to restore the data had the user backed it up properly. Mandatory liability under Section 10 remains unaffected.

9. Intellectual Property

The rights to the Platform, its software, design and trademarks remain with the provider or its licensors.

The user retains their rights to the content and flow definitions they create. Insofar as the user publishes or shares content via the Hub, they grant the provider the simple usage rights technically necessary for providing this function. For content and results created via integrated third-party services, the terms of the respective provider additionally apply.

For the optional host client, the user receives for the duration of the contract a simple, non-transferable right to install and use the client software on their own devices. The software may update automatically to ensure security and compatibility. Included open-source components are subject to their respective license terms; an overview is available via the Platform.

10. Liability

The provider is liable without limitation for damages arising from injury to life, body or health based on a culpable breach of duty, as well as for other damages based on intent or gross negligence.

In the event of slightly negligent breach of material contractual obligations — these are obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose compliance the user may regularly rely — liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded. Liability under the Product Liability Act, upon assumption of a guarantee, and for maliciously concealed defects remains unaffected. Towards businesses, strict liability for defects that already existed when the contract was concluded (Sec. 536a(1) alt. 1 BGB) is excluded; in all other respects the preceding paragraphs of this section continue to apply.

The provider is not liable for the conduct, availability, results, costs or lawfulness of the external services integrated by the user. Responsibility for the selection, configuration and lawful use of these services, as well as for the costs arising therefrom, lies solely with the user. Outputs of AI-based services rest on probabilistic methods and may be inaccurate, incomplete or unsuitable; the user is obliged to check such outputs on their own responsibility for accuracy and suitability before using them — in particular before any automated further processing or execution. The above exclusion of liability does not apply where the damage is based on intent or gross negligence on the part of the provider, its legal representatives or its vicarious agents, on a culpable injury to life, body or health, on the breach of a material contractual obligation, or on liability under the Product Liability Act, arising from a guarantee or on account of maliciously concealed defects; in those respects the preceding paragraphs of this section apply.

If the user deploys the host client, workflows are executed on an environment that is controlled exclusively by the user and that is not part of the service owed by the provider. The host client executes exclusively the workflows defined, configured or enabled by the user. For damage to systems, data, credentials or infrastructure of the user or of third parties arising from the execution of such workflows on the host environment — including the processing or automated execution of outputs of integrated AI services — the user bears sole responsibility; any liability of the provider is excluded in this respect. This does not apply insofar as the damage is based on intent or gross negligence on the part of the provider or liability is mandatory under the preceding paragraphs of this section.

For credentials that, pursuant to Section 5, are stored exclusively locally on the user's devices, the provider has no safekeeping or protection obligations; the provider is not liable for their loss, compromise or misuse, as it has no access to this data at any time. For credentials stored in the Platform, the provider's obligations are limited to the technical and organizational protective measures in accordance with the state of the art described in the Privacy Policy; absolute security of information technology systems cannot be guaranteed. For damage arising from unauthorized use of credentials by third parties, the provider is liable only insofar as this is based on a breach of the aforementioned protective measures for which the provider is responsible; otherwise the preceding paragraphs of this section apply.

11. Data Protection

The processing of personal data takes place in accordance with the Privacy Policy. This is a separate component and supplements these GTC.

If the user integrates external services to which personal data flows, they are themselves responsible for the data protection admissibility of this transfer and for any agreements of their own with the providers concerned.

If the user uses the Platform as a business to process personal data of third parties, the Data Processing Agreement (DPA) under Art. 28 GDPR in its respective current version additionally applies as part of this contract. The DPA is available via the organization management and the page footer.

12. Contract Term and Termination

The usage contract is concluded for an indefinite period. As long as no paid plans are booked, the user may terminate at any time without notice; in this case the provider may terminate in text form with a reasonable notice period of at least 14 days. The right of both parties to extraordinary termination for good cause remains unaffected.

Paid plans are billed in advance either monthly or yearly, depending on the plan booked; the billing period is shown at the time of booking. Once the first billing period has elapsed, the subscription continues for an indefinite period until it is terminated; there is no minimum term beyond the current billing period. The user may terminate at any time; the termination takes effect at the end of the current billing or trial period (see Section 6). For trial periods, the details of duration and follow-on price shown at the time of booking apply in addition. If, during a current billing period, the user switches to a higher tier or from a monthly billed plan to a yearly billed plan, the switch takes effect immediately and a new billing period of the chosen plan begins with the switch; the unused part of the billing period already paid for, including the day of the switch, is credited against the new fee to the exact day and shown separately on the invoice. The credit is limited to the fee for the new billing period after any promotional discount; any remainder beyond that is neither refunded nor credited. The amount to be credited and any remainder that cannot be credited are shown before the order is placed. A running promotional discount also applies to the new billing period starting with the change and uses promotional months in doing so (see Section 6).

Yearly plans: For a yearly plan, the first billing period is twelve months; the fee for it becomes due in advance at the time of booking. For consumers and for all yearly plans not booked as an entrepreneur, the following applies: after these twelve months the subscription is not renewed for another year but continues on a monthly basis at the monthly price shown at the time of booking, and can then be terminated with effect from the end of the current month. This monthly price is one twelfth of the yearly price, rounded to the nearest cent. For yearly plans booked as an entrepreneur, the following paragraph (Yearly plans for entrepreneurs) applies instead in this respect. During a current yearly term the user may switch to a higher tier provided it is also booked as a yearly plan; the switch takes effect immediately, a new yearly term begins with it, and the unused part of the current yearly term, including the day of the switch, is credited against the new yearly fee to the exact day and shown separately on the invoice; the amount is shown before the switch. A switch to a monthly billed plan of the same or a higher tier takes effect only at the end of the current yearly term; it can be scheduled at any time, and the current plan remains in place until then. A switch to a lower tier is still under trial (see the notice on new features and features under trial in Section 3); until it is enabled, the user reaches it by canceling with effect from the end of the current yearly term and then booking the desired plan anew. The user's mandatory statutory rights, in particular the right of withdrawal under Section 7 and the right to terminate for cause, remain unaffected. The cap stated above applies to the amount of the credit. A running promotional discount also applies to the new annual term and uses promotional months in doing so (see Section 6).

Yearly plans for entrepreneurs: If the user books a yearly plan for businesses (“Team”) as an entrepreneur within the meaning of § 14 BGB, the term is twelve months. The contract renews for a further twelve months each time unless it is terminated no later than the last day of the current term; the termination takes effect at the end of the term. The provider shows the user the last day for termination in their account. Whether a yearly plan was booked as an entrepreneur is determined by the declaration the user makes when booking; a later change to the billing details does not change the current contract. In all other respects, in particular for switching tiers during a current term, the preceding paragraph (Yearly plans) applies. This paragraph does not apply to consumers; for them, the preceding paragraph continues to apply.

The user can cancel paid plans directly in the platform: after signing in, they open the “Subscription & plan” area in their profile and reach their subscription overview, where they cancel via the permanently visible “Cancel” button followed by the confirmation in the dialog; beyond this confirmation no further steps or entries are required. The cancellation takes effect, in accordance with Section 6, at the end of the current billing or trial period; it is shown to the user immediately in the platform, including the date on which it takes effect, and is confirmed immediately in text form to the email address stored for the account (stating the content of the cancellation, the date and time of its receipt and the date on which the contract ends). Independently of this, the user can end their account via account deletion under paragraph 4; that deletion generally takes effect immediately as set out in paragraph 4. Paid plans can furthermore be canceled at any time in text form (e.g. by email to contact@opergow.com), without any sign-in being required. The declaration must be sent from the email address stored for the account; the provider attributes it to the account by this sender address. No further details, in particular no contract or customer numbers, are required; receipt of the declaration is decisive. If several organisations with a paid plan belong to the account, the user names the organisation concerned (name or identifier, alternatively the number of one of its invoices); if this is missing, the provider asks for it. If a cancellation arrives from a different sender address, or if it cannot be established that it was actually sent from the stored address, the provider informs the sender, asks for confirmation via the email address stored for the account and carries out the cancellation only afterwards. If the requested detail or confirmation arrives within 14 days, receipt of the original declaration is decisive; otherwise receipt of the detail or confirmation. The provider confirms receipt of a cancellation in text form to the sender; the confirmation that it has taken effect, including the termination date, is sent without undue delay in text form to the email address stored for the account.

Account deletion: the user may permanently delete their account in their profile under “Delete account”. Before the deletion, the provider shows the user all organizations they belong to and what happens to each of them. Organizations of which the user is the only member are deleted together with the account; in all other organizations the user’s membership ends, and the organization and its subscription remain unaffected. If the user is the owner or the last administrator of an organization with other members, they can delete their account only after they have transferred ownership to an administrator or, respectively, made another member an administrator, or removed the other members; the deletion dialog points this out. The organization is never transferred to another member automatically. Organizations with an individually agreed contract (in particular enterprise contracts) are not deleted via account deletion but in the course of the termination of that contract; if the user is the owner or the only member of such an organization, they contact the provider to have their account deleted. Unlike the termination under paragraph 3, deletion does not take effect at the end of the period but — subject to a scheduled deletion under the following paragraph — immediately: it ends the usage contract. With immediate deletion, the active paid subscriptions of the organizations deleted together with the account end; unused remaining term as well as unused credit and promotional discounts lapse, and no pro-rata refund of the fee for the billing or trial period already started is made (Section 6). The user expressly confirms this before the deletion. The user’s mandatory statutory claims remain unaffected — in particular a right of withdrawal under Section 7 that has not yet expired, warranty claims and claims for services not provided. Deleting the account is not a waiver of such claims. Instead, the user may first terminate under paragraph 3, use the paid remaining term until the end of the period and delete the account afterwards; the provider points out this choice expressly before the deletion. The provider deletes the data of the account and of the organizations deleted with it in all services of the platform within 30 days, as a rule within 24 hours; paragraph 6 applies to data that the provider must or may retain.

Scheduled deletion: instead of immediate deletion, the user may schedule the deletion of their account for a future date, in particular for the end of the billing or trial periods already paid for; the date may be at most 400 days in the future. Until that date the account remains fully usable. The user may cancel the scheduled deletion at any time before the date in their profile; it exists independently of any subscription and must therefore be canceled separately even if the user reactivates a terminated subscription. The provider reminds the user once, about seven days before the date, by email to the address registered for the account. On the date, the provider checks the requirements of paragraph 4 again: if the user is at that time the owner or the last administrator of an organization with other members, the deletion is not carried out and the scheduled deletion is canceled; the provider notifies the user of this by email, and the user may request the deletion again after transferring the organization. Otherwise the deletion is carried out automatically and finally on the date; from that point on, paragraph 4 on the scope and time frame of the deletion and the following paragraphs on finality and retained data apply.

Deletion is final; the provider maintains no restoration path. If the user later creates a new account with the same email address, a new account with a new identifier comes into existence, with no technical or contractual connection to the deleted account. Earlier data, subscriptions, remaining terms, credit, promotional discounts, templates and invoices are thereby neither restored nor made accessible — not even on request. A free trial period already used does not revive through re-registration.

Published templates: with the deletion of the account, the nickname and the organization name are removed from publications in the Hub; with the deletion of an organization, its publications are withdrawn. Details are governed by Section 3 (Publishing templates).

Excluded from deletion is data that the provider is required by law to retain or that it needs for the establishment, exercise or defense of legal claims (Art. 17(3)(b) and (e) GDPR). This concerns in particular invoices and the associated payment records and — where a paid subscription ends with the deletion — a brief record of the choice made (time, affected plan and remaining term, version of the notice text; without name, email address or postal address), which the provider retains for six years (§ 257 German Commercial Code) for the defense of legal claims; details and retention periods are governed by the Privacy Policy. In addition, the provider keeps a deletion log that contains, for a deleted account, only a pseudonymous identifier (without name and email address) and, for a deleted organization, only its identifier; it serves solely to ensure and evidence the deletion in all services, including after backups have been restored, and is retained permanently. These records continue to exist independently after deletion and are no longer assigned to any user account; a newly created account is given no access to them.

To protect against unauthorized deletion, the provider performs the deletion only after renewed sign-in with the password, confirmation via the second factor where activated, and a separate confirmation in the dialog. For a scheduled deletion, these safeguards take place when the deletion is scheduled; execution on the scheduled date then occurs automatically, without a renewed sign-in. Canceling a scheduled deletion requires signing in to the account. Where there are reasonable doubts about the identity of the requesting person, the provider may request additional information to confirm it and suspend execution until the matter is clarified (Art. 12(6) GDPR). The user keeps their access data and second factor confidential in accordance with Section 4. A deletion request may also be made outside the platform in text form to contact@opergow.com; to protect against unauthorized requests, it is executed only after it has been confirmed via the email address registered for the account. Response within the statutory period (Art. 12(3) GDPR) remains unaffected.

Protection of the account upon cancellation: All services of the platform are provided exclusively in the signed-in state; by its nature, use of the platform requires signing in with the user's credentials. The cancellation button is therefore located where the user sees and manages their subscription — in their account; there it is permanently available as well as directly and easily accessible. To sign in, the user needs only the credentials they use for every use of the platform; a forgotten password can be reset at any time without signing in via password recovery. The confirmation dialog contains no offers to continue the contract and no other content distracting from completing the cancellation; it merely points out immediate consequences of the cancellation (such as the forfeiture of unused credit, Section 6). Placing the button inside the account protects the account holder against third parties disposing of their subscription without their knowledge: a cancellation can, at the end of the period, end the access of further members of the organization and cause unused credit and promotional conditions to lapse (Section 6). Cancellation in text form without signing in (paragraph 3) remains unaffected by this; it is possible without signing in because it only takes effect at the end of the current billing or trial period, is confirmed to the email address stored for the account, and the account holder can reactivate a canceled subscription in the platform at any time before the cancellation takes effect (Section 6). Paragraph 7 applies to the protection of account deletion. The right to extraordinary termination for good cause (paragraph 1) remains unaffected and can also be exercised in text form under paragraph 3; mandatory statutory rights of the user remain unaffected by this paragraph in their entirety.

Good cause for extraordinary termination by the provider exists in particular where the user has initiated a chargeback (section 6) although the user authorised the payment and received the service, and the user does not withdraw the chargeback within seven days of being requested to do so by the provider, or the chargeback is decided in the provider's favour by the payment service provider. Before terminating, the provider gives the user the opportunity to comment; every decision on a termination for this reason is taken by a member of the provider's staff, not by an automated procedure. If the provider terminates for a reason attributable to the user, it refunds the fee for the billing period remaining after the termination takes effect on a pro rata basis; set-off against claims under section 6 is reserved. After such a termination the provider is not obliged to enter into a new agreement with the user; the suspension of access under section 6 remains in place until the agreement ends. § 314 BGB and the user's mandatory statutory rights remain unaffected.

Abuse of chargebacks: If the user initiates chargebacks or payment disputes with their payment service provider although the service was provided as agreed and there is no entitlement to a refund (abuse), the user breaches their contractual obligations. The provider is then entitled to block access to the organisation and to terminate the agreement for good cause; the provider informs the user of any block. The user's right to dispute unauthorised payments with their payment service provider remains unaffected.

Use after the deletion request: with the request for immediate deletion of the account, or, in the case of a scheduled deletion, on the scheduled date, the user's entitlement to use the platform ends. Until the deletion has been carried out technically, an existing sign-in may persist for a short time. Orders and other use triggered during this time via existing access credentials are not covered by the contract; the provider reverses them and refunds any fees paid for them. The user shall reimburse the provider for third-party costs actually incurred in doing so, such as fees of the payment service provider; the user remains free to prove that no such costs, or lower costs, were incurred. The provider may set this claim off against the refund amount.

13. Third-Party Information Without Warranty

The Platform displays third-party information in various places — in particular prices, plans, quotas, model designations and service offerings of external providers. This information serves information purposes only and is retrieved wholly or partly via the interfaces of the respective third-party provider and reproduced unchanged.

All third-party information is provided without warranty as to accuracy, completeness, timeliness or availability. Decisive and binding are solely the details of the respective third-party provider in its own offer, its contractual terms and its billing.

The user independently checks the prices and conditions relevant to them with the respective third-party provider before each use. For the display of this information in the Platform, the provider is liable solely in accordance with Section 10; the unlimited liability regulated there for intent, gross negligence and personal injury remains unaffected.

14. Amendments to the GTC

The provider may amend these GTC with effect for the future insofar as this is necessary due to changes in the legal situation or supreme court case law, due to official requirements, for compelling security reasons, for editorial clarifications without substantive change, or upon the introduction of additional free functions. Amendments that concern the relationship between service and remuneration or material rights of the user (in particular price or core service changes) are made exclusively with the user's express consent, for example by confirmation after login.

Amendments permitted under the preceding paragraph are announced to the user at least four weeks before they take effect (by message to the stored address or by display after login). If the user does not object within four weeks of receiving the notice, the amended GTC are deemed accepted; the right to object and this consequence are pointed out separately in the notice. If the user objects, either party may terminate the contract as of the time the amendment takes effect; periods already paid for remain unaffected.

15. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

If the user is a consumer with habitual residence in another EU member state, the mandatory protective provisions and places of jurisdiction of their state of residence remain unaffected. If the user is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the provider's registered seat.

Should individual provisions of these GTC be invalid or unenforceable, this does not affect the validity of the remaining provisions.

The provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board within the meaning of the German Consumer Dispute Resolution Act (VSBG).
